A new element of the Companies Act 2006 came into force whereby a limited company can now be formed with just one person. No longer do you need a secretary position to be filled, so there is no longer a need to find someone to act in name only as the secretary.

Existing Companies.

If your memorandum and articles documents do not refer specifically to the position of secretary then you can file a 288b to remove the secretary with no further issues. If they do refer to a secretary, modifying the mem and arts in a special resolution will then allow you to terminate the position of company secretary in your business.
